Welcome to NovaStem (“we”, “us”, “our”, “NovaStem”). These Terms & Conditions (“Terms”) govern your access to and use of the website [www.novastem.com]

(the “Site”), and any services, consultations, treatments or products (collectively, “Services”) offered by NovaStem. By using the Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site or our Services.

1. Eligibility & Access

  • You must be over 18 years of age to use our Services or engage in treatments.

  • You represent and warrant that all information you provide to NovaStem (on the Site, during consultations, or otherwise) is accurate, current, and complete.

  • You agree not to use the Site or our Services in any way that could harm NovaStem, its staff, its reputation, or any third party.

2. Services & Medical Disclaimer

  • NovaStem provides regenerative medicine, stem cell therapies, functional medicine, infusions, treatments, and other wellness and medical services.

  • All medical treatments carry risks. The information on the Site is for general informational purposes only and does not constitute medical advice. It is not a substitute for consultation with a qualified healthcare provider.

  • You agree to undergo a medical evaluation and follow any instructions provided by our medical team. The results of treatments can vary depending on individual circumstances, and no guarantee is made regarding outcomes.

3. Consultations, Treatment Plans & Scheduling

  • After applying for a treatment or contacting us, we provide a personalized evaluation or treatment plan.

  • Treatment schedules, timing, and facility visits are arranged based on availability and after confirmation with you.

  • Changes to scheduling or plan may be subject to availability and clinic policy.

4. Payment & Fees

  • You agree to pay all applicable fees for the Services, including initial consultations, treatments, follow-ups, and any additional services or medical supplies that may be required.

  • Payment terms, methods, and any deposits required will be communicated to you in advance.

  • NovaStem reserves the right to modify fees or payment terms; any changes will be communicated before implementation for future services.

5. Cancellations, Refunds & Rescheduling

  • If you need to reschedule or cancel a consultation or treatment, you must notify NovaStem within the timeframe specified by us (which will be provided in the treatment plan or appointment confirmation).

  • Refunds (if applicable) and rescheduling are subject to NovaStem’s policies. Some costs may be non-refundable (for example, preparatory work, assessments, medical staff time) depending on the stage of the treatment.

  • NovaStem may cancel or reschedule services on its end in exceptional circumstances (staff unavailability, emergencies, etc.), and will attempt to notify you in a timely manner.

6. Privacy, Data & Consent

  • Your personal data and medical records will be collected, stored, and processed by NovaStem in accordance with our Privacy Policy.

  • By using the Site or receiving Services, you consent to that collection and processing, including via electronic communications.

  • You also consent to being contacted by NovaStem (e.g. by phone, email, WhatsApp) for purposes related to services, appointments, follow-ups, and support.

7. Intellectual Property

  • All content on the Site (texts, images, graphics, videos, logos, etc.) is owned or licensed by NovaStem and is protected by copyright, trademark, and other intellectual property laws.

  • You may not reproduce, distribute, modify, display, or transmit any part of the Site content without our prior written permission, except for personal, non-commercial use.

8. Limitation of Liability

  • To the fullest extent permitted by law, NovaStem, its medical staff, agents, or affiliates shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages, including but not limited to, loss of profits, loss of data, or injury arising out of or relating to your use of the Site or Services.

  • NovaStem makes no guarantees that treatments will achieve particular results, and you accept the inherent risks involved.

9. Compliance with Law & Medical Regulations

  • NovaStem operates under the laws and regulatory requirements applicable in Mexico, including medical licensing, health authority regulations, ethical standards, and institutional licenses.

  • You agree to comply with all legal requirements applicable to your own situation (for example, obtaining any necessary approvals, following medical advice, etc.).

10. Changes to Terms

  • We may update, modify or replace these Terms from time to time. If we make material changes, we will provide notice via the Site or by contacting you.

  • Continued use of the Site or Services after such notice means you accept the new Terms.

11. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Baja California, Mexico (or the relevant jurisdiction where NovaStem is incorporated/operates), without regard to its conflict of laws principles.

  • Any dispute arising under or relating to these Terms or your use of the Site or Services shall be resolved first by good-faith negotiation. If unresolved, disputes may be submitted to mediation or binding arbitration (if applicable) or brought in the competent courts of Tijuana, Baja California.

12. Severability & Waiver

  • If any provision of these Terms is found invalid, illegal, or unenforceable by a court, that provision shall be severed or limited to the extent necessary so that the rest of the Terms remain in full force.

  • A waiver of any right under these Terms must be in writing and signed by NovaStem. The failure or delay to enforce any right or provision in these Terms shall not constitute a waiver of such right.
